Welcome to DoorX. These Terms and Conditions (“Terms”) govern your access to and use of the DoorX website, platform, software, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of a company, property management firm, or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. About DoorX

DoorX provides software tools designed to help property management teams manage maintenance communications, request triage, workflow automation, vendor coordination, and related operational processes. DoorX may include artificial intelligence-assisted features that help organize information and suggest actions.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

3. Accounts and Access

To use certain features, you may need to create an account. You agree to:

  • Provide accurate and current information
  • Keep login credentials secure
  • Promptly update account information
  • Be responsible for activity under your account
  • Notify us of unauthorized access or suspected security issues

We may suspend or restrict access if we reasonably believe your account is being misused or creates risk to the platform or others.

4. Permitted Use

You agree to use the Services only for lawful business purposes and in compliance with applicable laws and regulations.

You may not:

  • Use the Services to violate any law or third-party rights
  • Attempt to gain unauthorized access to systems or data
  • Interfere with platform performance or security
  • Reverse engineer, copy, or misuse the software except where legally permitted
  • Upload malicious code, spam, or harmful content
  • Use the Services to send deceptive or fraudulent communications

5. AI-Assisted Features

Some DoorX features may use automation or artificial intelligence to classify requests, recommend actions, summarize information, or route workflows.

These outputs are provided to support operational efficiency and should be reviewed by your team before relying on them for important decisions. DoorX does not guarantee that automated outputs will always be accurate, complete, or appropriate for every situation.

6. Customer Data

You retain ownership of the data, records, and content you submit to the Services (“Customer Data”). You grant DoorX a limited right to host, process, transmit, and use Customer Data as necessary to provide, maintain, secure, and improve the Services.

You are responsible for ensuring that you have the rights and permissions needed to submit Customer Data and communicate with tenants, residents, owners, vendors, or other contacts through the platform.

7. Privacy

Your use of the Services is also subject to our Privacy Policy. Please review that policy to understand how information is collected, used, and protected.

I agree to receive SMS messages from DoorX (by Agentefied) for job assignments, scheduling updates, and service notifications. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance.

8. Third-Party Integrations

The Services may connect with third-party tools, property management systems, calendars, messaging providers, payment tools, or other external services. DoorX is not responsible for third-party products or services and does not guarantee their continued availability or compatibility.

9. Fees and Billing

Paid plans are billed according to the pricing, order form, or subscription terms presented at signup or in a separate agreement.

Unless otherwise stated:

  • Fees are non-refundable except where required by law
  • Subscriptions renew automatically until canceled
  • You authorize applicable recurring charges
  • Late or failed payments may result in suspension or termination of access
  • Taxes may apply and are your responsibility unless stated otherwise

10. Intellectual Property

DoorX and its licensors own all rights, title, and interest in the Services, including software, branding, content, design, and underlying technology, excluding Customer Data.

These Terms do not grant you ownership of the Services or any intellectual property rights except for the limited right to use the Services during an active subscription.

11. Confidentiality

Each party may receive confidential information from the other. Each party agrees to use reasonable care to protect confidential information and use it only for purposes related to the business relationship, except where disclosure is required by law.

12. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, updates, outages, internet disruptions, or third-party failures may affect availability.

13. Disclaimers

The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. DoorX disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

DoorX is a software platform and does not provide legal advice, property management advice, licensed contracting services, emergency repair services, or professional engineering services.

14. Limitation of Liability

To the maximum extent permitted by law, DoorX and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.

DoorX’s total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by you to DoorX for the Services during the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless DoorX and its affiliates from claims, damages, liabilities, and expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your Customer Data
  • Your violation of any law or third-party rights

16. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, fail to pay fees, create legal or security risk, or where reasonably necessary to protect the platform or others.

Upon termination, your right to use the Services ends. Certain provisions of these Terms will survive termination by their nature.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles, unless otherwise required by applicable law.

18. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
